These Terms & Conditions govern the use of the Cape Nut Exports website and the purchase, supply and export of bulk and wholesale nuts.

1. Introduction

These Terms & Conditions apply to your use of the Cape Nut Exports website and to commercial inquiries, quotations, purchase orders and transactions involving our products and services.

Cape Nut Exports (Pty) Ltd operates as a B2B supplier and exporter of nuts and related agricultural products. Our customers may include importers, wholesalers, distributors, food manufacturers, retailers, foodservice companies and other commercial buyers.

By using this website or submitting a purchase inquiry, you agree to comply with these Terms & Conditions.

2. Definitions

For these Terms & Conditions:

  • "Company" means Cape Nut Exports (Pty) Ltd.
  • "Buyer" means the individual, company, importer, wholesaler or organization purchasing or requesting products from the Company.
  • "Products" means nuts and other products offered by the Company.
  • "Order" means a confirmed purchase request accepted by the Company.
  • "Quotation" means a commercial price offer issued by the Company to a prospective Buyer.

3. Website Use

You may use this website for legitimate business and informational purposes.

You must not use the website to engage in unlawful activity, submit fraudulent information, interfere with website functionality, attempt unauthorized access or misuse any information obtained from the website.

We reserve the right to restrict or terminate access to the website where we reasonably believe that it is being misused or used in violation of these Terms & Conditions.

4. Product Information & Specifications

We make reasonable efforts to ensure that product descriptions, grades, sizes, origins, packaging information and other specifications displayed on the website are accurate.

However, product availability, specifications, origin, packaging and grades may change according to season, harvest conditions, market availability and supplier requirements.

The final product specifications applicable to an order will be those confirmed in the relevant quotation, sales agreement, purchase order or other written commercial documentation.

5. Product Availability

All products are subject to availability.

Displaying a product on our website does not constitute a guarantee that the product, grade, origin, quantity or packaging will be available at the time an order is placed.

Availability will be confirmed by our sales team before an order is accepted.

6. Quotations & Pricing

Quotations are prepared based on the product, grade, quantity, packaging, destination and shipping requirements provided by the Buyer.

Unless otherwise stated in writing, quotations are subject to confirmation and product availability.

Prices may change due to fluctuations in commodity markets, currency exchange rates, transportation costs, production costs, packaging costs, taxes, duties or other relevant commercial factors.

The applicable price for a confirmed order will be stated in the relevant commercial documentation.

7. Minimum Order Quantities

Minimum order quantities vary depending on the product, grade, packaging and shipping requirements.

Commercial orders may generally start from approximately 500 kg or 1 metric ton for selected products.

Full-container-load (FCL) orders may also be available for suitable products and quantities.

The minimum order quantity applicable to a particular product will be confirmed during the quotation process.

8. Orders & Order Acceptance

A purchase inquiry, quotation request or purchase order does not automatically constitute an accepted order.

An order becomes binding only after it has been accepted by Cape Nut Exports in writing and any applicable commercial conditions, payment requirements and product specifications have been agreed.

We reserve the right to decline or cancel an order where product availability, payment, documentation, regulatory requirements or other legitimate commercial considerations prevent fulfillment.

9. Payment Terms

Payment terms will be agreed between the Company and Buyer before an order is confirmed.

Depending on the transaction, payment may be required in advance, by agreed deposit arrangements or under other commercially agreed terms.

The Buyer is responsible for ensuring that payments are made according to the agreed payment schedule.

Failure to make payment when due may result in delayed production, order suspension, shipment delay or cancellation.

10. Packaging

Products may be supplied in packaging formats appropriate to the specific product and agreed order requirements.

Packaging options may include vacuum-packed cartons, cartons, jute bags, bulk sacks, jumbo bags and other commercial export packaging.

Any special or customized packaging requirements must be agreed in writing before production or packing begins.

11. Shipping & Delivery

Shipping arrangements will be agreed according to the product, quantity, destination, shipping method and applicable Incoterms or other commercial terms stated in the order documentation.

Delivery dates and transit times are estimates unless a specific delivery commitment has been expressly agreed in writing.

Shipping schedules may be affected by port congestion, customs procedures, weather, carrier schedules, inspections, regulatory requirements or other circumstances outside the Company's reasonable control.

12. Import Requirements & Customs

The Buyer is responsible for ensuring that the Products can legally be imported into the destination country and comply with applicable local requirements.

This may include import permits, food registration, labelling requirements, customs clearance, duties, taxes, inspections, licenses and other regulatory requirements.

Unless otherwise agreed in writing, the Buyer is responsible for destination-country import clearance and any applicable duties, taxes, fees or charges.

13. Export Documentation

Applicable export and commercial documentation may be provided according to the product, destination and agreed transaction terms.

Documentation may include commercial invoices, packing lists, certificates of origin, applicable certificates, inspection documents and other export paperwork where required.

Buyers must communicate any specific documentation requirements before an order is finalized.

14. Quality & Inspection

Product quality will be assessed according to the agreed product specification, grade and applicable commercial documentation.

Where pre-shipment inspection, laboratory testing or other quality verification is required, the requirements and costs should be agreed before shipment.

Buyers should notify the Company promptly if they identify any material discrepancy between the delivered Products and the agreed specifications.

15. Claims & Discrepancies

Any claim concerning quantity, packaging, visible damage or product specifications should be submitted to the Company promptly after receipt of the shipment.

Claims should include relevant supporting information such as photographs, shipment details, packing information, inspection reports or other evidence reasonably required to investigate the claim.

Claims will be reviewed against the agreed order specifications and applicable commercial documentation.

16. Returns & Cancellations

Because our Products are primarily supplied as commercial food and agricultural commodities, returns are not automatically accepted.

Any cancellation or return request must be submitted to the Company and may be subject to the status of production, packaging, shipment and applicable commercial agreements.

Customized, private-label or specially prepared Products may not be eligible for cancellation or return once production or packing has commenced, unless otherwise agreed in writing.

17. Force Majeure

The Company will not be responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, crop failure, disease affecting agricultural production, fire, war, civil unrest, strikes, port closures, transportation disruptions, government restrictions, regulatory changes, customs delays, pandemics, shortages or other extraordinary events.

Where reasonably possible, the Company will communicate material delays and work with the Buyer to determine an appropriate solution.

18. Intellectual Property

Unless otherwise stated, the content of this website, including text, graphics, logos, photographs, designs, layouts and other materials, is owned by or licensed to Cape Nut Exports and is protected by applicable intellectual property laws.

Website content may not be reproduced, copied, modified, distributed or commercially exploited without prior written permission.

19. Confidentiality

Commercial information exchanged between the Company and Buyer, including quotations, pricing, specifications, business information and transaction details, should be treated as confidential unless disclosure is required by law or expressly authorized by the relevant party.

20. Limitation of Liability

To the extent permitted by applicable law, Cape Nut Exports will not be liable for indirect, incidental, consequential or special losses arising from the use of the website or delays or disruptions beyond the Company's reasonable control.

Nothing in these Terms & Conditions is intended to exclude or limit liability where such exclusion or limitation is not permitted under applicable law.

21. Website Information

We aim to keep the information on our website accurate and current. However, product availability, prices, specifications, images and other information may change without prior notice.

Website information should not be interpreted as a binding commercial offer unless expressly stated otherwise.

25. Severability
